Don't cheap out on the duct size, moving up to 5" or 6" will let you put in a much quieter model and still move the same amount of air.

The corrugated plastic conduit gets NASTY after a few years of moving moist air. Mold city. The straight metal tubing seems to have less problem with that.

I've replaced a bunch of Broan/Nutones over the years, but never any of the Panasonics. I highly suggest making sure you can get a drop-in replacement kit for whatever model you choose, you don't want to have to rip out part of the ceiling in the future to replace the unit.

That is where I might jimmy-rig mine. The existing exhaust wall cap and fan has a 3 inch corrugated duct. If I go to 4 inch (which my new fan has) I need to replace the wall cap, and its in a right bitch of a spot for me to get to. I did buy a new wall cap tonight, I need to borrow an extension ladder and see if I can even reach the cap. If I can't reach it I'll transition from 4 to 3 inch inside the attic. The fan probably won't be able to hit its rated cfm but it might be the best I can do.

I am going to be sore tomorrow. Put my new fan in today, but I still need to replace the outside wall cap. Maybe next weekend. Here's the old fan, at least I'm pretty sure a bona fide electrician installed it:

The new fan is a TIGHT fit.

Also found a little surprise. At the wall cap, there should be a section of metal duct through the wall that the plastic duct attaches to. There was not, instead the plastic duct was just kind of shoved up against the inside of the cap. So here is my temporary solution, a bunch of foil tape.
